1. Introduction and Acceptance of Terms

Welcome to MadVoxel AG’s website and services. These Terms and Conditions (“Terms”) govern your access to and use of MadVoxel AG’s website, products, services, and any other intellectual property, including MAVO 3D App (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you are using our Services on behalf of an organization, you are agreeing to these Terms for that organization and confirming that you have the authority to bind that organization to these Terms.

If you do not agree with these Terms, you must not access or use our Services.

2. Definitions

  • “MadVoxel AG”, “we”, “our”, or “us” refers to MadVoxel AG, a company registered in Switzerland.
  • “User”, “you”, or “your” refers to the individual or entity that is using our Services.
  • Content" refers to any information, data, text, graphics, images, videos, or materials uploaded, downloaded, or appearing on our Services.
  • “MAVO 3D” refers to our 3D scanning application and related services.

3. App Store Purchases and User Accounts

3.1 App Store Integration

All payments and account handling for MAVO 3D are processed through Apple’s App Store. By making purchases related to our Services, you agree to be bound by Apple’s Terms of Service in addition to these Terms. Apple’s Terms of Service.

3.2 Payment Processing

MadVoxel AG does not directly process payments or store payment information. All transactions are handled by Apple, and you should refer to Apple’s Privacy Policy and Terms of Service regarding the handling of your payment information.

3.3 Subscriptions and Purchases

Any subscriptions, in-app purchases, or other transactions made through the App Store are subject to the App Store’s terms and conditions. For subscription management, refunds, or billing questions, please contact Apple Support directly.

4. Pricing and Payment

4.1 Currency and International Pricing

All prices listed for MAVO 3D and its features are in Swiss Francs (CHF). For customers outside Switzerland, equivalent amounts will be charged in your local currency based on the exchange rate at the time of billing through Apple’s App Store.

4.2 Price Changes and Adjustments

While MadVoxel AG strives to maintain consistent pricing, we reserve the right to adjust prices due to:

  • Currency exchange rate fluctuations
  • Changes in local tax policies
  • Updates to product features or services
  • Other market factors

For any general price changes, MadVoxel AG will provide at least 30 days’ advance notice through appropriate communication channels. Changes to pricing due to taxes, tariffs, exchange rates, or governmental charges may be implemented immediately without prior notice and do not constitute a material revision requiring the standard notice period.

4.3 Promotions, Special Rates and Discounts

MadVoxel AG may occasionally offer promotional discounts, free trials, or special offers for MAVO 3D or its features. These promotions:

  • Are subject to their own specific terms and conditions, which will be communicated at the time of the offer
  • May be time-limited and can be modified or withdrawn at any time without prior notice
  • Cannot be combined with other offers unless explicitly stated
  • May have eligibility requirements that MadVoxel AG reserves the right to verify
  • Are processed through Apple’s App Store and therefore subject to Apple’s policies regarding promotions and discounts
  • Payment obligations for any subscription shall become due and payable on a monthly or annual basis, according to the billing cycle selected by the user at the time of purchase as processed through and specified in the Apple App Store.

Any promotional codes or discount offers are void where prohibited and have no cash value. MadVoxel AG reserves the right to cancel promotions at any time for any reason.

For special promotional rates (such as “Early Bird Launch” pricing):

  • The discounted rate may be locked in for as long as your subscription remains continuously active
  • If you cancel your subscription, the promotional rate will no longer apply
  • Any future re-subscription will be at the then-current regular rate
  • Even with promotional rate guarantees, prices may still be adjusted due to currency exchange rate fluctuations or changes in local tax policies, with appropriate notice

Other promotional discounts, special offers, or promotional codes we may offer in the future:

  • May have different terms, including time limitations
  • Will be subject to their own specific conditions, which will be communicated at the time of offer
  • May not provide permanent pricing benefits
  • Cannot be combined with other offers unless explicitly stated
  • Even with promotional rate guarantees, prices may still be adjusted due to currency exchange rate fluctuations or changes in local tax policies, with appropriate notice.

4.4 Subscription Licenses and Models

MadVoxel AG offers the following subscription options for MAVO 3D through the App Store:

  • Free Version: Basic scanning capabilities with limited features
  • Professional Subscription: Full access to all MAVO 3D professional features, including unlimited point cloud exports, higher scanning resolution capabilities and priority support by our team.

Detailed information about the specific features included in each subscription tier, current pricing, and available subscription periods (monthly, annual, etc.) can be found in the MAVO 3D application on the Apple App Store.

  • Subscription fees are in Swiss Francs (CHF) and will be charged in your local currency based on the exchange rate at the time of billing.
  • Subscription fees will be clearly indicated before purchase and charged to your Apple ID account.
  • Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period.
  • Account management and subscription cancellation can be managed through your App Store account settings.
  • No refund will be provided for any unused portion of a subscription period if cancelled mid-term.
  • Pricing and subscription terms are subject to change. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect.

MadVoxel AG reserves the right to modify existing and new subscription tiers, included features, and pricing structures at its discretion, with appropriate notice as detailed in Section 5.3. Furthermore, MadVoxel AG may introduce new features that are not included in existing subscription plans

4.5 Business Partnerships and Custom Solutions

In addition to standard consumer subscriptions, MadVoxel AG may offer customized versions of MAVO 3D or specialized distribution arrangements to business partners. These business partnerships:

  • Are subject to separate written agreements between MadVoxel AG and the business partner
  • May include custom features, branding, or distribution methods not available in the standard version
  • May have different pricing structures, payment terms, and licensing conditions
  • May involve different distribution channels beyond the Apple App Store
  • May include service level agreements or maintenance terms specific to the partnership

The terms in this document do not automatically apply to such custom business arrangements. Business partners interested in custom MAVO 3D solutions should contact MadVoxel AG directly at info@madvoxel.com to discuss specific terms and conditions applicable to their situation.

MadVoxel AG reserves the right to enter into different terms with different business partners based on the specific requirements and scale of each partnership.

5. Use of Website and MAVO 3D Application

5.1 Website Purpose

The MadVoxel AG website is provided solely for the purpose of:

  • Presenting information about our MAVO 3D product
  • Showcasing features and capabilities of our services
  • Allowing users to subscribe to our newsletter
  • Enabling users to provide feedback through our feedback forms

5.2 Acceptable Use

You agree to use our website and MAVO 3D application only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use our website or application in any way that violates any applicable local, national, or international law or regulation
  • Impersonate or attempt to impersonate MadVoxel AG, a MadVoxel AG employee, or any other person or entity
  • Engage in any conduct that restricts or inhibits anyone’s use or enjoyment of our website or application
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our website or application
  • Use our website or application to transmit or upload any viruses, malware, or other types of malicious software
  • Submit false or misleading information through our feedback forms or other communication channels

5.3 Service Modifications

MadVoxel AG reserves the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services.

6. Intellectual Property Rights

6.1 MadVoxel AG’s Intellectual Property

The website, MAVO 3D application, and their original content, features, and functionality are and will remain the exclusive property of MadVoxel AG and its licensors. These are protected by copyright, trademark, and other laws of Switzerland and foreign countries.

All intellectual property rights, whether registered or unregistered, shall remain vested exclusively in MadVoxel AG. No intellectual property rights whatsoever shall be transferred to users. MadVoxel AG grants users a limited, non-exclusive, non-transferable license to use the application subject to these Terms and Conditions and applicable Apple App Store terms. All ownership rights remain with MadVoxel AG, which reserves all rights not expressly granted herein.

6.2 User Content

You retain all ownership rights to any content you create using MAVO 3D, including all scan data and 3D models. MadVoxel AG does not host, store, or have access to your scan data or projects.

6.3 User Responsibilities

  • You must use the app in compliance with all applicable laws and regulations.
  • You agree not to misuse the app, including but not limited to, attempting to gain unauthorized access to the app or its related systems.
  • You must not decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the app.
  • You are solely responsible for how you use the export functionality of MAVO 3D and for ensuring that your use complies with all applicable laws.

7. MAVO 3D Specific Terms

7.1 License to Use

Subject to these Terms, MadVoxel AG grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use MAVO 3D for your personal or internal business purposes in accordance with Apple’s App Store terms.

7.2 Scan Data and Storage

All scan data processed by MAVO 3D is processed and stored exclusively on your device. MadVoxel AG does not host, store, or have access to any of your projects or scan data, and we do not claim ownership of your scan data.

7.3 Export Functionality

You are solely responsible for how you use the export functionality of MAVO 3D and for ensuring that your use complies with all applicable laws and regulations.

Users must immediately delete any content, including all 3D models, photographs, or other materials uploaded to or created within MAVO 3D, if such content violates any laws or regulations of any jurisdiction. By using MAVO 3D’s export functionality, you affirm your obligation to promptly remove any content that may contravene any applicable laws, regardless of the jurisdiction in which those laws apply. Failure to comply with this requirement may result in termination of your access to MAVO 3D and potential legal liability.

7.4 App Updates and Maintenance

Updates to the MAVO 3D application will be distributed through the Apple App Store. MadVoxel AG reserves the right to update the application to implement new features, fix bugs, or maintain compatibility with iOS updates.

8. Support

MadVoxel AG provides support for app users according to their respective subscription tier. We will respond to support inquiries in a reasonable timeframe. We reserve the right to modify support terms with reasonable prior notice. For business customers with individual contracts, the support terms specified in those contracts apply.

Our Services may contain links to third-party websites or services that are not owned or controlled by MadVoxel AG. MadVoxel AG has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that MadVoxel AG shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

10. Disclaimer of Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. MadVoxel AG makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

10.1 3D Scan Accuracy and Measurement Verification

In addition to the general disclaimers above, the following specific terms apply to 3D scanning accuracy:

Accuracy Limitations

The MAVO 3D app generates 3D models using LiDAR sensor data from iOS devices. While we employ advanced algorithms to optimize accuracy, various factors may impact the precision of your 3D models, including environmental lighting conditions, surface materials, device movement during scanning, and hardware limitations.

We strongly recommend performing verification measurements on your 3D models by comparing key dimensions with known real-world measurements to validate the accuracy and suitability for your intended use case. This practice ensures optimal results and is standard procedure in professional 3D scanning workflows.

Disclaimer of Accuracy Warranty

MadVoxel AG makes no warranty regarding the absolute accuracy, completeness, or reliability of 3D models generated by the Services. The accuracy of results depends on proper scanning technique, environmental conditions, and the specific requirements of your project. Users must validate scan accuracy against their project specifications.

Limitation of Accuracy Liability

MadVoxel AG expressly disclaims any liability for damages, losses, or consequences arising from inaccuracies in 3D models generated by the Services. This includes, but is not limited to:

  • Measurement errors or dimensional inaccuracies in scan results
  • Project delays, rework, or additional costs resulting from reliance on scan data
  • Professional or business decisions made based on 3D model measurements
  • Material waste, construction errors, or design mistakes caused by inaccurate scan data
  • Financial losses resulting from decisions based on scan accuracy assumptions

You acknowledge that 3D scanning technology has inherent limitations and that scan accuracy can vary based on numerous factors beyond MadVoxel AG’s control. Any reliance on scan data for critical measurements, professional decisions, or project planning is undertaken entirely at your own risk.

You are solely responsible for determining whether the accuracy achieved, meets your specific project requirements and for any consequences resulting from your use of the 3D models.

This limitation of liability applies regardless of the legal theory under which liability is claimed (whether in contract, tort, negligence, or otherwise) and even if MadVoxel AG has been advised of the possibility of such damages.

11. Limitation of Liability

In no event shall MadVoxel AG be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.

12. Termination

We reserve the right to terminate or suspend your access to the app at our sole discretion, without notice, for conduct that we believe violates these Terms of Use or is harmful to other users of the app, us, or third parties, or for any other reason.

12.1 Ordinary Termination - App Store Terms and Conditions

Termination of your subscription may be processed according to the Apple App Store terms and conditions. You may cancel your subscription at any time through your Apple ID account settings.

12.2 Extraordinary Termination

Notwithstanding section 12.1, MadVoxel AG reserves the right to immediately terminate or suspend your access to MAVO 3D without prior notice if:

  • You breach any provision of these Terms of Use
  • You use the Service in a manner that infringes upon third-party intellectual property rights
  • You distribute or share content that is inappropriate, offensive, or illegal
  • You attempt to reverse engineer or decompile the application
  • You violate privacy laws or regulations through your use of the Service
  • You engage in fraudulent or illegal activities

Upon extraordinary termination, you shall immediately cease all use of the Service and will not be entitled to any refund of prepaid fees.

13. Indemnification

You agree to defend, indemnify, and hold harmless MadVoxel AG, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the Services.

14. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any disputes relating to these Terms will be subject to the exclusive jurisdiction of the court at the seat of the company.

15. Severability

Should any provision of these Terms be or become invalid, illegal, or unenforceable, the validity of the remaining provisions shall not be affected. The invalid provisions shall only affect those specific portions that are invalid, not the entire Terms.

16. Changes to Terms

MadVoxel AG reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

16.1 Privacy Policy and Contract Formation

Our Privacy Policy is subject to the Apple App Store terms and conditions. A binding agreement with MadVoxel AG is formed only when you have reviewed and accepted both these Terms of Use and our Privacy Policy. Both documents must be accepted before using MAVO 3D application and/or other services provided by MadVoxel AG.
